These Terms of Service (“Terms”) govern your access to and use of the fsckmsft platform and related services operated by fsckmsft, Inc. (“fsckmsft”, “we”, “us”, or “our”). By creating an account or using the service, you agree to these Terms in full. Last updated: January 1, 2025
These Terms are a legally binding contract. We recommend reviewing them with your legal counsel, particularly the sections on Intellectual Property, Limitation of Liability, and Governing Law, before using fsckmsft in a commercial context.

1. Acceptance of Terms

By accessing or using the fsckmsft platform at app.fsckmsft.org or any associated APIs, mobile applications, or services (collectively, the “Service”), you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms, and all references to “you” in these Terms refer to both you and the organisation. If you do not agree to these Terms, do not access or use the Service.

2. Description of Service

fsckmsft is a cloud-based SaaS platform that provides project management, document collaboration, automation, and workflow tooling for individuals and teams. The specific features available to you depend on your subscription plan. fsckmsft reserves the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable prior notice, except where required changes must be made immediately for security or legal reasons.

3. User Accounts and Eligibility

3.1 Eligibility

You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to create an account. By registering, you represent that you meet this requirement.

3.2 Account registration

You agree to provide accurate, current, and complete information when creating your account and to keep that information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

3.3 One account per person

Personal accounts are for individual use. You may not share your login credentials with others. Team access is facilitated through workspace invitations, not credential sharing.

3.4 Account security

You must notify fsckmsft immediately at security@fsckmsft.org if you become aware of any unauthorised access to your account. fsckmsft is not liable for losses resulting from unauthorised access caused by your failure to protect your credentials.

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
  • Violate any applicable law or regulation, including data protection, export control, and intellectual property laws.
  • Upload, transmit, or distribute malware, viruses, or any code designed to damage, disrupt, or gain unauthorised access to systems.
  • Interfere with or disrupt the Service or servers or networks connected to the Service, including through denial-of-service attacks.
  • Attempt to gain unauthorised access to any part of the Service, other user accounts, or fsckmsft’s internal systems.
  • Scrape, crawl, or harvest data from the Service in bulk without prior written authorisation.
  • Use the Service to send unsolicited communications (spam) to other users or third parties.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Use the Service to store or process prohibited content, including content that is illegal, defamatory, obscene, or that infringes third-party intellectual property rights.
  • Resell or sublicense access to the Service without our express written consent.
fsckmsft reserves the right to investigate violations of this policy and to suspend or terminate accounts found to be in breach, without prior notice for egregious violations.

5. Intellectual Property

5.1 Your data

You retain full ownership of all content, data, and materials that you upload or create within the Service (“Customer Data”). You grant fsckmsft a limited, non-exclusive, worldwide licence to host, store, process, and display your Customer Data solely to the extent necessary to provide the Service to you.

5.2 The fsckmsft platform

fsckmsft retains all right, title, and interest in and to the Service, including all software, algorithms, interfaces, documentation, trade secrets, and associated intellectual property. Nothing in these Terms grants you any ownership rights in the Service or in fsckmsft’s proprietary technology.

5.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant fsckmsft a perpetual, irrevocable, royalty-free licence to use that feedback for any purpose without compensation to you.

6. Service Availability and SLA

6.1 Uptime target

fsckmsft targets 99.9% monthly uptime for the core Service (web application and API), excluding scheduled maintenance windows.

6.2 Scheduled maintenance

fsckmsft performs scheduled maintenance during low-traffic windows (typically Sundays 02:00–06:00 UTC). We will provide at least 48 hours’ notice via the status page and email for maintenance expected to cause service interruption.

6.3 Service credits

If monthly uptime falls below the 99.9% target, eligible paid customers may request a service credit:

Service credit requests must be submitted within 30 days of the applicable month-end to support@fsckmsft.org. Credits apply to future invoices only and are not redeemable for cash. Credits are the sole remedy for service availability failures.

7. Payment and Billing

7.1 Subscription fees

Paid plans are billed monthly or annually in advance. Prices are displayed at fsckmsft.org/pricing and are subject to change with 30 days’ written notice.

7.2 Taxes

All fees are exclusive of applicable taxes (VAT, GST, sales tax, etc.). You are responsible for paying any such taxes.

7.3 Non-payment

If payment fails, fsckmsft will notify you and attempt to charge again. If payment is not resolved within 14 days, your account may be downgraded to the Free plan and access to paid features suspended.

7.4 Refunds

Subscription fees are non-refundable except as required by applicable law or as expressly stated in a written agreement with fsckmsft.

8. Confidentiality

Each party agrees to keep the other party’s confidential information (“Confidential Information”) strictly confidential, to use it only for purposes of the relationship under these Terms, and not to disclose it to third parties without prior written consent, except as required by law. Customer Data is your Confidential Information. fsckmsft’s pricing, technical documentation marked confidential, and non-public product roadmap are fsckmsft’s Confidential Information.

9. Limitation of Liability

9.1 Disclaimer of warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9.2 Limitation of liability

To the maximum extent permitted by applicable law, fsckmsft’s total cumulative liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the fees you paid to fsckmsft in the 12 months preceding the claim, or (b) USD $100.

9.3 Exclusion of consequential damages

In no event shall either party be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption, even if advised of the possibility of such damages.

10. Indemnification

You agree to indemnify, defend, and hold harmless fsckmsft, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

11.1 Termination by you

You may cancel your account at any time through your account settings or by contacting support@fsckmsft.org. Cancellation takes effect at the end of the current billing period for paid plans.

11.2 Termination by fsckmsft

fsckmsft may suspend or terminate your account immediately if you materially breach these Terms, particularly the Acceptable Use Policy. For less serious breaches, we will provide notice and a reasonable opportunity to cure.

11.3 Effect of termination

Upon termination, your right to access the Service ceases. Your data is retained for 30 days post-termination to allow export, after which it is permanently deleted. Sections on Intellectual Property, Limitation of Liability, Indemnification, and Governing Law survive termination.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware for resolution of any dispute arising under these Terms. For customers in the European Union, nothing in this clause limits your statutory consumer rights under applicable EU law.

13. Changes to These Terms

fsckmsft may update these Terms from time to time. We will notify you of material changes via email and by posting a notice in the app at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms.
